Terms of Use

These Terms of Use (the "Terms") govern access to and use of mivia.app, the Mivia software, applications, APIs, integrations, agents, workflows, documentation, and related services (collectively, the "Services") provided by MiviaLabs LLC, a Wyoming limited liability company ("Mivia," "we," "us," or "our").

By creating an account, clicking to accept these Terms, or accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" includes that organization and its authorized users.

If you do not agree to these Terms, do not use the Services.

1. The Services

Mivia provides software and AI-assisted tools intended to help users and organizations work with software projects, development environments, repositories, workflows, agents, automation, and related information.

The Services may change over time. We may add, modify, suspend, or discontinue features, including experimental or beta features. We will not materially reduce a paid subscription during its then-current prepaid period except where reasonably necessary for security, legal compliance, prevention of abuse, or other circumstances permitted by these Terms or applicable law.

Some features may be subject to additional terms, product-specific terms, documentation, usage limits, or third-party terms. If additional terms conflict with these Terms, the additional terms control for the relevant feature to the extent of the conflict.

2. Eligibility and Accounts

You must be legally capable of entering into a binding agreement and must comply with applicable law when using the Services.

You may not use the Services if:

  • your access has been suspended or terminated and you have not been expressly reinstated by Mivia;
  • you are prohibited from receiving the Services under applicable law;
  • you are subject to applicable sanctions or export restrictions that prohibit your use of the Services; or
  • your use would cause Mivia or its providers to violate applicable law.

You must provide accurate account information and keep it reasonably current. You are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account, except to the extent caused by our breach of these Terms or applicable law.

You must promptly notify us of suspected unauthorized access to your account.

We may offer accounts to individuals and organizations. Organization administrators may have the ability to manage members, connected integrations, repositories, workspaces, billing, settings, and other organization-level information. You are responsible for selecting and authorizing your organization administrators.

3. Organization Accounts and Authorized Users

If you create or administer an organization account:

  1. you are responsible for ensuring that your authorized users comply with these Terms;
  2. you are responsible for activity performed through the organization account, subject to applicable law;
  3. you represent that you have the necessary authority to connect repositories, third-party accounts, data sources, and other resources to the Services;
  4. you must remove access for users who are no longer authorized to act for the organization; and
  5. you must not knowingly allow unauthorized users to access the Services through your organization.

If an email address or account is associated with an organization, we may provide organization administrators with reasonable account or usage information necessary to administer the organization account, as described in our Privacy Policy and subject to applicable law.

4. Third-Party Services and Integrations

The Services may allow you to connect third-party services, including source-control, code-hosting, identity, cloud, model, data, communication, or other providers ("Third-Party Services").

Your use of Third-Party Services is governed by the applicable third party's terms and policies. You are responsible for obtaining all permissions required to connect a Third-Party Service or make its data available to Mivia.

Mivia does not control Third-Party Services and is not responsible for their availability, security, content, functionality, or acts or omissions. We may suspend or remove an integration where reasonably necessary for security, legal compliance, provider requirements, or protection of the Services.

5. Customer Content and Data

"Customer Content" means information, data, code, prompts, instructions, files, repository content, configurations, credentials or tokens intentionally supplied through supported secure mechanisms, and other content that you or your authorized users submit to, connect to, or make available through the Services.

As between you and Mivia, you retain your rights in Customer Content. You grant Mivia a worldwide, non-exclusive, limited license to host, store, reproduce, transmit, process, modify, and otherwise use Customer Content solely as reasonably necessary to:

  • provide, operate, secure, support, and maintain the Services;
  • perform actions requested or authorized by you;
  • prevent abuse, fraud, or security incidents;
  • comply with applicable law; and
  • enforce these Terms and applicable policies.

You represent and warrant that you have all rights, permissions, and lawful bases necessary to provide Customer Content to the Services and authorize Mivia's processing of it under these Terms.

You are responsible for Customer Content and for reviewing actions taken using the Services before relying on or deploying them.

Sensitive and regulated data

Unless Mivia expressly agrees otherwise in writing, you must not submit to the Services:

  • payment card data that would cause the Services to become subject to PCI DSS obligations;
  • protected health information regulated by HIPAA;
  • special-category or highly sensitive personal data unless you have independently determined that your use is lawful and appropriate and the applicable Service supports such processing; or
  • credentials or secrets except through a feature expressly intended for secure credential handling.

Do not submit data that you are prohibited by law, contract, fiduciary duty, or other binding obligation from sharing with Mivia.

6. AI and Automated Features

The Services may use artificial intelligence, machine learning, automated systems, or third-party models to generate suggestions, analyses, plans, code, text, actions, or other output ("Output").

Output may be inaccurate, incomplete, insecure, unsuitable, or unavailable. AI systems can produce similar or identical output for different users. You are responsible for evaluating Output and for independently determining whether it is appropriate for your intended use.

You must not treat Output as a substitute for professional advice where such advice is required. You must use appropriate human review and testing before relying on Output in production, security-sensitive, safety-critical, legal, financial, medical, or other high-impact contexts.

Mivia does not guarantee that Output will be correct, unique, non-infringing, secure, or fit for a particular purpose.

Subject to applicable law and the rights of third parties, you may use Output for your lawful purposes. Mivia does not claim ownership of Output solely because it was generated through the Services.

Unless we expressly offer and describe an opt-in program or other written arrangement, we will not use Customer Content to train or improve Mivia's general-purpose models.

We may use de-identified, aggregated, statistical, telemetry, and operational information to operate, secure, analyze, and improve the Services, subject to applicable law and our Privacy Policy.

7. Your Responsibilities

You are responsible for:

  • deciding which repositories, systems, integrations, environments, and data sources to connect;
  • managing permissions and access tokens;
  • maintaining backups and appropriate change-management practices;
  • reviewing generated code, commands, configuration changes, and agent actions;
  • testing changes before production deployment where appropriate;
  • complying with third-party licenses and terms; and
  • obtaining required notices, consents, and authorizations for personal data or other regulated information you submit.

You must not rely on Mivia as your sole backup or disaster-recovery mechanism unless we expressly agree otherwise in writing.

8. Acceptable Use

You must not, and must not permit others to:

  1. use the Services unlawfully or in violation of applicable regulations;
  2. infringe, misappropriate, or violate intellectual-property, privacy, confidentiality, or other rights;
  3. upload, connect, or process data you are not authorized to use;
  4. interfere with, disrupt, overload, probe, scan, or attack the Services except through authorized security testing;
  5. bypass access controls, authentication, rate limits, security measures, or technical restrictions;
  6. access or use the Services to develop, distribute, or facilitate malware, ransomware, credential theft, unauthorized surveillance, or other harmful code or activity;
  7. use the Services to gain unauthorized access to systems, accounts, repositories, networks, or data;
  8. use the Services for fraud, deception, impersonation, or manipulation;
  9. reverse engineer or extract source code from the Services except to the extent such restriction is prohibited by applicable law;
  10. copy, rent, lease, sell, sublicense, or provide the Services to third parties except as expressly permitted;
  11. use automated means to access the Services except through documented or expressly authorized interfaces;
  12. remove proprietary notices;
  13. use the Services to violate sanctions, export controls, or other trade restrictions;
  14. use the Services in a manner reasonably likely to create a material security, operational, legal, or reputational risk to Mivia, its users, or third parties; or
  15. encourage, facilitate, or assist another person in doing any of the above.

9. No Circumvention of Restrictions

If Mivia suspends, restricts, or terminates your access, you must not circumvent or attempt to circumvent that restriction.

This includes creating or using another account, identity, organization, connected third-party account, repository, payment method, domain, or other means to regain or facilitate access in violation of a restriction.

You also must not knowingly use the Services on behalf of, or provide access to the Services to, a person or organization whose access has been restricted or terminated where doing so would circumvent that restriction.

Mivia may use reasonably necessary information to identify and prevent circumvention, subject to applicable law and our Privacy Policy. We will not knowingly restrict access solely because of nationality, ethnicity, religion, or another protected characteristic, except where access restrictions are required by applicable law.

10. Suspension, Restriction, and Termination

We may suspend, restrict, or terminate all or part of access to the Services where we reasonably determine that:

  • you or your authorized users violated these Terms, applicable policies, or applicable law;
  • your use presents a security risk or credible risk of harm;
  • we reasonably suspect fraud, unauthorized use, or circumvention;
  • we are required to do so by law, legal process, sanctions, or export-control requirements;
  • you fail to pay undisputed fees when due after any applicable grace period;
  • your use materially interferes with the Services or other users; or
  • immediate action is reasonably necessary to protect Mivia, the Services, users, or third parties.

Where reasonably practicable, we may provide notice and an opportunity to address the issue. We may act without prior notice where immediate action is reasonably necessary.

Suspension or restriction may apply to a specific account, organization, connected resource, integration, or other access path reasonably necessary to enforce the restriction. We will not knowingly extend an entity-level restriction to an unrelated individual merely because that individual is a current or former employee, friend, or other weakly associated person.

If you believe access was restricted in error, you may request review at [email protected]. We may require information reasonably necessary to verify identity, authority, or the relevant relationship.

You may stop using the Services at any time. You may close your account through the Services where available or by contacting [email protected].

11. Fees, Taxes, and Billing

Paid features may be subject to separate pricing, order forms, subscription terms, usage limits, or billing terms presented at purchase.

You are responsible for applicable taxes, excluding taxes based on Mivia's net income, unless applicable law requires otherwise.

Except where required by applicable law or expressly stated at purchase, fees are non-refundable.

We may use third-party payment processors. Your payment information may be processed by those providers under their terms and privacy policies.

12. Beta and Preview Features

Features identified as alpha, beta, preview, experimental, or early access ("Beta Features") may be changed or discontinued at any time.

Beta Features are provided "as is" and may not be reliable, secure, or available. You should not use Beta Features with production-critical or irreplaceable data unless you independently determine the risk is acceptable.

To the maximum extent permitted by law, Mivia disclaims warranties and indemnities relating to Beta Features.

13. Intellectual Property

Mivia and its licensors retain all rights, title, and interest in and to the Services, including software, documentation, interfaces, designs, trademarks, and other intellectual property, except for rights expressly granted to you.

Subject to these Terms, Mivia grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription period for your internal business or personal use.

Feedback you provide may be used by Mivia without restriction or compensation, provided we will not publicly identify you as the source without your permission.

14. Confidentiality

Each party may receive non-public information from the other party that is designated as confidential or that reasonably should be understood to be confidential.

The receiving party will use such information only as necessary to perform under these Terms, protect the Services, or comply with law, and will protect it using reasonable safeguards.

This section does not apply to information that the receiving party can demonstrate: (a) is or becomes public through no breach of duty; (b) was already lawfully known; (c) is independently developed without use of the other party's confidential information; or (d) is lawfully received from a third party without a duty of confidentiality.

Mivia may disclose confidential information where required by applicable law or valid legal process, subject to notice where legally permitted and reasonably practicable.

Mivia respects intellectual-property rights.

If you believe content available through the Services infringes your copyright or other intellectual-property rights, contact [email protected] with sufficient information to identify the allegedly infringing material, the rights asserted, and your authority to make the complaint.

Mivia may remove or disable access to allegedly infringing material and may terminate repeat or egregious infringers where appropriate.

16. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIVIA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE SERVICES WILL DETECT EVERY DEFECT, SECURITY ISSUE, VULNERABILITY, OR ERROR, OR THAT ANY OUTPUT OR AGENT ACTION WILL BE SAFE OR CORRECT.

Nothing in these Terms excludes warranties that cannot lawfully be excluded.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIVIA AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIVIA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO MIVIA FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR
  2. USD $100.

Some jurisdictions do not permit certain limitations. In those jurisdictions, these limitations apply only to the extent permitted by law.

Nothing in these Terms limits liability that cannot lawfully be limited.

18. Indemnification

To the maximum extent permitted by law, if you use the Services on behalf of a business or organization, you will defend and indemnify Mivia and its affiliates, officers, directors, employees, and contractors against third-party claims, damages, liabilities, and reasonable costs (including reasonable attorneys' fees) arising from:

  • your Customer Content;
  • your breach of these Terms;
  • your violation of applicable law; or
  • your infringement or violation of third-party rights.

This obligation does not apply to the extent a claim is caused by Mivia's breach of these Terms, gross negligence, willful misconduct, or other liability that cannot lawfully be excluded.

Mivia will provide reasonable notice of an indemnified claim and reasonable cooperation at your expense.

19. Changes to the Services or Terms

We may modify the Services and these Terms from time to time.

If we make a material change, we will provide reasonable notice through the Services, by email, or by another reasonable method where required by applicable law.

The updated Terms will apply from the stated effective date. If you continue using the Services after that date, you agree to the updated Terms, except where applicable law requires another form of consent.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-law rules, except where mandatory law applicable to you requires otherwise.

For business users and other users for whom mandatory consumer law does not provide otherwise, the state and federal courts located in Wyoming, USA will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and each party consents to personal jurisdiction and venue there.

Nothing in this section prevents either party from seeking temporary or injunctive relief in a court of competent jurisdiction where reasonably necessary to protect intellectual property, confidential information, or security.

We may provide notices to you through the Services, the email associated with your account, or another legally permitted method.

You are responsible for keeping your contact information current.

22. Miscellaneous

These Terms, together with applicable order forms, product-specific terms, and policies expressly incorporated by reference, form the entire agreement between you and Mivia regarding the Services.

You may not assign these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of substantially all relevant assets. Mivia may assign these Terms in connection with a corporate reorganization, merger, acquisition, or sale of assets.

If any provision is unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified only to the minimum extent necessary to make it enforceable where permitted.

A failure to enforce a provision is not a waiver.

You and Mivia are independent contractors. These Terms do not create a partnership, joint venture, employment, fiduciary, or agency relationship.
